Saudi Arabian Practice Our Saudi Arabian practice was initially established in Al Khobar in 1979 in order to provide resident expertise and more timely service to our client, Saudi Aramco . We now have offices in the three principal business centers of the Kingdom of Saudi Arabia - Al Khobar / Dammam , Jeddah and Riyadh providing a full range of audit, tax and Zakat, and advisory services. Within the Kingdom of Saudi Arabia, our professional complement includes nearly 500 personnel. We provide a full range of services to our clients including accounting and auditing, consulting and income taxes and Zakat. Tax and Zakat services are rendered to both corporate and personal clients in the Kingdom of Saudi Arabia. We also draw on our broader Middle East practice which has over 2,300 professionals. We also have a number of PricewaterhouseCoopers professionals resident in the Kingdom on long-term assignment. We are also well versed in International Financial Reporting Standards (“ IFRS ”) and their close ties to the Saudi Standards. We also have a technical service agreement with PricewaterhouseCoopers. We believe this technical services agreement is unique, allowing us much greater and faster access to international expertise whenever our clients need it. We also regularly call on the expertise of other PricewaterhouseCoopers offices worldwide for assignments that require specialist expertise. Our Commitment to Saudi Arabia PricewaterhouseCoopers (formerly known as Al Juraid & Company), began its Saudization program in the mid- 1980’s . Since then we have hired a large number of Saudi nationals into our Firm, whose number has steadily grown from 2 to more than 70 Saudi professionals today. Today, our Firm PwC enjoys the benefit of many Saudi professionals working with us in all lines of services of our business.

1 Our Practice in the Kingdom of Saudi Arabia The Saudi professionals who departed PwC over the years joined Saudi companies in significant finance, accounting and internal audit roles or are with other public accounting firms. Recently a number have been selected for the Saudi Government Scholarship Program. While PwC would prefer to have retained many of those individuals, the training and opportunities provided to these professionals has contributed to the overall Saudiazation effort of the Kingdom. All professional employees of PwC are encouraged to broaden their abilities as professionals through programs of continuing professional education and self-development. The firm recognizes its responsibility to provide educational materials and comprehensive training programs for developing competency in accounting, auditing, taxation, advisory and other related subjects. PwC’s training program includes in-house formal education, training outside the Kingdom, on-the-job training, and courses offered for the Saudi and U.S. certified public accounting examinations. In-house formal education focuses on the technical knowledge and skills needed by professional personnel, which provides for continuing development of knowledge in accounting, auditing, advisory and tax matters. Training outside Saudi Arabia includes seminars, conferences and workshops that cover a wide range of subjects including management skills as well as industry and functional specialties development. On-the-job training is an integral aspect of PwC’s professional development program and can be summarized as the application of formal education to practice under the supervision of seasoned, experienced professionals. PwC emphasizes training to assist professionals in attaining recognized professional qualifications such as the Saudi CPA and the U.S. CPA. A number of Saudi professionals in the firm have attained both licenses. PwC is committed to hiring and training Saudi nationals. The firm intends to continue to expand the hiring and training of Saudi nationals to replace non-Saudi professionals while delivering services to clients at a consistently high level. 2 Our Practice in the Kingdom of Saudi Arabia - Assurance and Tax Assurance Services Auditing and Accounting Our auditing services consist primarily of examining clients’ financial statements with the objective of rendering an independent auditors’ opinion on them for use in Reports to shareholders, directors, trustees, government agencies, blended institutions and others. We take a constructive approach in serving our clients, blending technical knowledge with business insight and providing timely communication of financial and accounting developments to client executives. Audit work is planned around our concept of continuous, year-round service under which an audit team performs a substantial portion of the audit during periods prior to year-end. We believe that the combination of our firm’s broad experience, the capabilities of our personnel, and the resources backing them up allows us to make significant contributions to each client in the administration of its business affairs. System & Process Assurance (“SPA”) The complex nature and rapid expansion of today’s computer industry requires a team of highly skilled specialists who have the requisite knowledge and experience to serve our clients. Our SPA team comprises senior members of our Firm with international experience. They are based in the Kingdom and understand the local issues as well as maintaining regular contact with our international colleagues for the latest developments. Apart from supporting our external audit teams, our SPA specialists assist clients on numerous projects such as the pre-implementation and post-implementation reviews of computer systems, and the selection process for new accounting systems. Tax Services Saudi Zakat and Taxation Because of the many uncodified aspects of Saudi Arabian Zakat and tax regulations, the Zakat and tax liability of a business can depend, in part, on how and when certain information is presented. The Zakat and tax regulations of the Kingdom are constantly changing and are subject to considerable interpretation by the Saudi Zakat and tax authorities, Zakat/taxpayers and their advisors. Thus, one needs the experience of a firm that can provide advice and expertise that is reliable, intuitive and timely. We believe PwC has these desired characteristics.
