A non disclosure agreement or confidentiality agreement (commonly known as NDA) is an agreement between two parties in which one party (i.e. recipient of the confidential information commits, agrees and undertakes to the other party (i.e. disclosing party) not to disclose the information to any third party except in accordance with the terms agreed between them or in the manner as prescribed under the NDA . Why you need NDA: Every business has some secrets and crucial information which are very critical for smooth running and expansion of the business in the right direction. Irrespective of the industry you belong and disregard to your company size, you need a good format of non disclosure agreement at various stages of your business.

For example, you are hiring an employee who will be controlling your client data or building some software code or business plan for your new entity, you need a non disclosure agreement to be entered into with that employee to make him aware amount the importance and criticalness of his duties including keeping things confidential and secrets and not using the same for any other purpose except in accordance with the terms mentioned therein. The person signing the agreement is not only under the obligation of keeping the information confidential, but must take reasonable security measures to safeguard the information.
