Opening a branch Office in Singapore – What you Need to Know


Singapore has been a preferred business hub for several companies over the past few years. If you have plans to set up a branch office of your company in Singapore, read on to know the requirements and other details for the same.


COMPLIANCE REQUIREMENTS A branch office must have a registered address in Singapore The office must have at least one authorised representative, who is also a Singapore resident. The branch name should be the same as the company name.


ABOUT TAXATION A branch office is not entitled to the benefits of the Double Taxation Agreement. Tax exemptions on foreign branch benefits, foreign sourced service income or foreign sourced dividends are not applicable for branch office setups. Branch office is eligible for partial tax benefits.


ANNUAL FILING REQUIREMENTS Foreign companies must submit: annual reports a duly audited financial statement of the branch office within 7 months from its financial year end or within 2 months of the company’s annual general meeting, whichever is earlier.


DOCUMENTS REQUIRED Certificate of Incorporation given by the foreign country. Particulars of the Directors. Articles of Association Memorandum of Appointment Preparation of Statutory declaration by verifying the execution of the Memorandum of Appointment of Agents.
